Terms of Service

HaVyn Lifestyle “Pro” Terms & Services

1. Overview
 By applying to become a “Pro” (a service provider) on the HaVyn Lifestyle platform (the “Platform”), you agree to the following terms governing your relationship with HaVyn Lifestyle (“HaVyn,” “we,” “us,” or “our”). These terms form a binding agreement between you (“Pro,” “you,” or “your”) and HaVyn.

2. Eligibility & Qualifications
 To qualify as a Pro, you represent and warrant that you meet the following criteria:
 a. At least two years of professional cleaning experience and ability to perform standard, deep, and move-in/move-out cleaning services.
 b. Possession of your own cleaning tools and equipment (cleaning solutions & disinfectants, microfiber cloths, professional mop, vacuum, gloves/protective wear, etc.).
 c. Reliable personal transportation and ability to arrive on time to client jobs.
 d. Maintenance of appropriate liability insurance covering your services.
 e. Successful completion of a background check (via our designated third-party screening provider) if and when required.
 f. Commitment to punctuality, good communication, respect for clients’ homes, and upholding HaVyn’s values of integrity, professionalism, and excellence.

3. Your Relationship with HaVyn
 a. You acknowledge you are an independent contractor, not an employee, agent, or partner of HaVyn. You are solely responsible for how you perform cleaning services, subject to compliance with this agreement and HaVyn’s standards.
 b. HaVyn will provide the Platform infrastructure, brand, client-referrals, scheduling support, payment facilitation, and other services as described on our “Become a Pro” page.
 c. HaVyn does not provide training or supervision of your work beyond standard brand guidelines; you carry out services under your own control and direction.
 d. You are responsible for your own tools, equipment, supplies, transportation, taxes, insurance, licensing, and compliance with laws applicable to your services.

4. Service Standards & Conduct
 a. You agree to perform all jobs referred by HaVyn in a professional, timely, safe, and courteous manner, in accordance with the client’s instructions and HaVyn’s quality standards.
 b. You must arrive on time for scheduled jobs, maintain clear communication with clients and HaVyn, and respect clients’ homes and property.
 c. You must abide by applicable laws, regulations, and safety protocols.
 d. HaVyn reserves the right to review your performance, client feedback, and quality of work. Continued referral of jobs is contingent on meeting our performance expectations.

5. Compensation & Payment Terms
 a. Current split during the website phase: 40% to you (Pro) / 60% to HaVyn.
 b. Upon launch of the HaVyn app, compensation split will change to 70% to you / 30% to HaVyn.
 c. You will receive payment via the method provided through the Platform. HaVyn may implement instant or faster payouts in the future.
 d. HaVyn may deduct its portion of fees before forwarding your portion of payment.
 e. HaVyn may change compensation structure with advance notice; such changes may apply to new jobs only or as specified.

6. Platform Policies & Client Referrals
 a. HaVyn will bring clients to you—no marketing or self-posting required.
 b. You agree to accept jobs delivered through the Platform and honor your commitments. Declining or failing to show for accepted jobs may result in removal from the Program.
 c. You are responsible for maintaining your profile, reputation, and client feedback. HaVyn may feature your public profile and reviews.
 d. You may not solicit clients outside the Platform to circumvent HaVyn’s fees unless explicitly permitted in writing.

7. Insurance & Liability
 a. You must maintain general liability insurance covering your cleaning services, and other insurance as required by your local jurisdiction.
 b. You agree to indemnify, defend, and hold harmless HaVyn from any losses, claims or liabilities arising out of your services, performance, negligence, misconduct, omission, or violation of this agreement or applicable laws.
 c. To the maximum extent permitted by law, HaVyn’s liability to you under or in connection with this agreement is limited to the amount of fees actually received by you for services rendered in the preceding 12 months.

8. Background Screening & Verification
 a. You consent to a background check and screening process via our designated third-party provider. HaVyn may refuse or remove you from the Program if you fail the background check or verification process.
 b. You must furnish proof of insurance, valid transportation, tooling, and any licensing or certification as required.

9. Term, Termination & Suspension
 a. This agreement remains in effect until terminated by either you or HaVyn.
 b. HaVyn may suspend or terminate your participation in the Program with or without cause. Cause includes, but is not limited to, poor performance, client complaints, breach of this agreement, or falsified credentials.
 c. You may terminate your participation by giving [X days] written notice to HaVyn, or by ceasing to provide services via the Platform.
 d. Upon termination or suspension, you shall not accept new jobs via the Platform and must fulfill any accepted jobs unless otherwise instructed.

10. Intellectual Property & Branding
 a. “HaVyn” and related logos, trademarks, service marks, and trade names are the property of HaVyn Lifestyle.
 b. You may use HaVyn branding only in accordance with our brand guidelines and only while you are an active, authorized Pro.
 c. You grant HaVyn a non-exclusive, worldwide, royalty-free license to use your name, likeness, reviews, and profile in marketing and promotional materials.

11. Confidentiality
 You agree to keep confidential any non-public information or trade secrets of HaVyn and clients you learn in connection with your services, including client contact details, preferences, and service history.

12. Modification of Terms
 HaVyn reserves the right to modify these Terms & Services at any time. We will provide notice of changes via the Platform or email. Your continued participation after the effective date of changes constitutes your acceptance of the updated agreement.

13. Governing Law & Dispute Resolution
 This agreement is governed by the laws of the State of [Florida] (or as appropriate). You and HaVyn agree to resolve disputes through binding arbitration (or small claims court) in [County], Florida, unless otherwise required by law.

14. Miscellaneous
 a. If any provision of this agreement is held invalid or unenforceable, the remaining provisions will remain in full force.
 b. This agreement constitutes the entire understanding between you and HaVyn with respect to your participation in the Program, superseding any prior agreements or communications.
 c. You may not assign or transfer your rights or obligations under this agreement without HaVyn’s prior written consent.
 d. HaVyn may assign its rights and obligations without your consent.
